Clinic Terms (Partner Agreement)

These Clinic Terms are a binding agreement between ScalarRatio LLC, 75 E 3rd St, Sheridan, WY 82801, United States ("HairLinQ", "we", "us", "our"), and the clinic that registers to receive introductions through HairLinQ ("Clinic", "you"). HairLinQ is a brand of ScalarRatio LLC. By registering a clinic account or accepting these terms, you agree to them.

These terms apply together with, and incorporate, the Clinic Data-Sharing Agreement, the Refund and Lead-Quality Policy, and the Verification Methodology. If there is a conflict, the Clinic Data-Sharing Agreement prevails on data-protection matters, and these Clinic Terms prevail on all other matters.

1. Definitions

  • Prospective patient: an individual who submits a request through HairLinQ.

  • Lead: a prospective patient's request that is matched to your clinic.

  • Accepted Lead: a Lead for which the prospective patient has opted in to receive your quote. Credits are charged only for Accepted Leads.

  • Credit: a prepaid unit used to pay for Accepted Leads, with values and prices set out in the Price List.

  • Price List: HairLinQ's current list of tiers, credit values, and prices, as published on the platform.

  • Gold Position: the single exclusive matching position offered per prospective patient, as described in the Price List.

  • Authorization Certificate: the Turkish Ministry of Health International Health Tourism Authorization Certificate (Uluslararasi Saglik Turizmi Yetki Belgesi).

2. How HairLinQ works

HairLinQ is a comparison and introduction platform. We match prospective patients to clinics and, where a prospective patient opts in, introduce them to you so you can provide a quote. We are an introducer. We do not provide medical care, we are not a party to any treatment you provide, and we do not take any commission on treatment.

3. Eligibility and verification

To use HairLinQ you must hold a valid Authorization Certificate and provide the verification documents we request, as set out in the Verification Methodology. You must maintain that certificate for as long as you use HairLinQ, and tell us without undue delay through our contact form at hairlinq.com/contact if it lapses, is suspended, or is withdrawn. We may suspend or remove clinics that do not meet these requirements.

4. Credits, pricing, and billing

  • HairLinQ operates on prepaid credits, not commission and not a subscription.

  • You buy Credits in advance. Credit values, tier definitions (including any Quick, Extended, Full, and Gold options), and prices are set out in the Price List.

  • You are charged only for Accepted Leads. When a prospective patient opts in to receive your quote, the applicable Credits are deducted. You are not charged for a Lead that a prospective patient does not opt in to.

  • Credits are non-refundable for cash and roll over, subject to any expiry period stated in the Price List or at purchase.

  • Any founding-partner or promotional Credits are governed by the specific offer under which they are granted.

  • We may update the Price List from time to time. Changes do not affect Credits already purchased, and we will make the current Price List available on the platform.

5. Lead quality and credit-backs

We want the Leads you pay for to be genuine. If an Accepted Lead is invalid, duplicated, or fraudulent, you can claim a credit-back as set out in the Refund and Lead-Quality Policy. Valid claims are returned as Credits, within the timeframe stated in that policy. We do not give cash refunds.

6. Matching, cap, and exclusivity

Each prospective patient is matched to a maximum of six clinics (up to five standard positions and one Gold Position). The Gold Position is exclusive per prospective patient, as described in the Price List. We do not guarantee that you will be matched to any particular number of prospective patients.

7. Your obligations

You agree to:

  • respond to Accepted Leads professionally and in good faith;

  • keep your clinic profile accurate and not misleading;

  • comply with all laws that apply to you, including medical, advertising, and data-protection laws (including Turkish data-protection law, KVKK), and be solely responsible for your own advertising claims and any before-and-after imagery you use;

  • handle prospective-patient data only as permitted by the Clinic Data-Sharing Agreement, and not use it for any purpose other than responding to the prospective patient;

  • not attempt to bypass HairLinQ to avoid Credit charges for prospective patients introduced to you; and

  • not misuse the platform or interfere with its operation.

8. What we provide, and what we do not guarantee

We provide access to the platform and introduce Accepted Leads to you. Leads are provided as is. We do not guarantee any level of Lead volume, Lead quality, conversion, bookings, revenue, or outcome, and we do not guarantee that any prospective patient will respond, proceed, or complete treatment.

9. Data protection

For prospective-patient personal data, you and HairLinQ act as independent controllers, as set out in the Clinic Data-Sharing Agreement, which includes the EU Standard Contractual Clauses for the transfer of data to Turkey. You are responsible for your own compliance with data-protection law, including KVKK, once data reaches you.

10. Intellectual property

HairLinQ owns the platform, the HairLinQ brand, and its content. You grant us a non-exclusive licence to display your clinic name, logo, and the information you provide, for the purpose of operating the platform and presenting your clinic to prospective patients. You are responsible for having the rights to that content.

11. Confidentiality

Each party will keep the other's non-public business information confidential and use it only for the purposes of this agreement, except where disclosure is required by law.

12. Suspension

We may suspend your access, or specific Leads, if you breach these terms, if your Authorization Certificate lapses or cannot be verified, if we receive credible complaints, or if we reasonably suspect fraud or misuse.

13. Term and termination

This agreement runs on a rolling basis with no fixed lock-in. Either party may terminate on notice through the account or our contact form. We may terminate or suspend immediately for material breach, fraud, or loss of the Authorization Certificate. On termination, unused Credits are not refunded for cash, and any right to use them ends at termination unless we state otherwise. Terms that by their nature should survive (including confidentiality, data protection, and liability) continue after termination.

14. Liability

To the fullest extent permitted by law, neither party is liable for indirect, incidental, special, or consequential loss, or for loss of profits, revenue, data, or goodwill. Our total aggregate liability arising out of or in connection with this agreement is limited to the total amounts you paid to us in the twelve months before the event giving rise to the claim. Nothing in this agreement excludes liability that cannot lawfully be excluded, including for fraud.

15. Changes

We may update these terms and the Price List. We will post the current version on the platform with an updated date. Continued use after changes take effect means you accept them.

16. Governing law and disputes

This agreement is governed by the laws of the Netherlands. Any dispute arising out of or in connection with it will be finally resolved by arbitration under the Rules of the International Chamber of Commerce, seated in Amsterdam, the Netherlands, conducted in English. (Data-protection matters under the Clinic Data-Sharing Agreement and the Standard Contractual Clauses are governed as stated in that agreement.)

17. General

You may not assign this agreement without our consent; we may assign it to an affiliate or successor. These terms, together with the documents they incorporate, are the entire agreement between us on this subject. Notices are given through the clinic account or our contact form at hairlinq.com/contact.
